Platform Terms of Service (Shopless) Effective date: February 18, 2026 1. Definitions. - "Services" means the Shopless platform and related functionality. - "Merchant" means a customer entity using the Services to operate a storefront. - "User" means any authorized individual accessing the Services on behalf of a Merchant. 2. Acceptance. By accessing or using Shopless, you agree to these Terms, referenced policies, and applicable law. If you do not agree, you must stop using the Services. 3. Service description. Shopless provides hosted commerce infrastructure, storefront tooling, integrations, and operational services. Feature availability may vary by plan, region, and technical constraints. 4. Eligibility and account security. Users must provide accurate information, maintain credential confidentiality, enforce role-based access, and promptly report unauthorized access. 5. Merchant responsibility. Merchants are solely responsible for product legality, pricing accuracy, fulfillment, tax treatment, consumer disclosures, export controls, and compliance in each operating jurisdiction. 6. Acceptable use. You may not use Shopless for unlawful conduct, infringement, fraud, malware distribution, unauthorized testing, denial-of-service behavior, or any activity that degrades platform integrity. 7. Third-party services. Integrations with payment processors, logistics carriers, AI tools, or analytics providers may be governed by separate terms. Shopless is not responsible for third-party interruptions, data handling, or policy changes. 8. Fees and billing. Paid features are billed according to your selected plan and billing cycle. Late or failed payments may result in suspension, downgrade, or restricted functionality. 9. Intellectual property notice. - Shopless and related branding are protected by intellectual property laws. - Except for limited rights granted under these Terms, no rights are transferred. - Feedback may be used by Shopless without restriction or compensation. 10. Data and confidentiality. You retain rights to your submitted content. You grant Shopless the rights necessary to host, process, and transmit data for service delivery, security, and legal compliance. Each party must protect confidential information with reasonable safeguards. 11. Suspension and termination. Shopless may suspend or terminate access for material breach, fraud risk, legal non-compliance, security threats, sanctions concerns, or non-payment, with notice where reasonably practicable. 12. Disclaimer. The Services are provided on an "as is" and "as available" basis except where non-waivable statutory guarantees apply. 13. Limitation of liability. To the fullest extent permitted by law, Shopless is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, data loss, or business interruption. 14. Indemnity. You agree to defend and indemnify Shopless against claims arising from your products, content, legal violations, data processing instructions, or misuse of the Services. 15. Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, critical infrastructure failures, war, terrorism, labor disputes, internet backbone failures, epidemics, or government action. 16. Governing law and disputes. Unless otherwise stated in a signed service agreement, these Terms are governed by [[GOVERNING_LAW]] and disputes are subject to [[DISPUTE_FORUM]], subject to mandatory consumer protection law. 17. Changes. Shopless may update these Terms to reflect product, legal, or security changes. Continued use after the effective date constitutes acceptance of the updated Terms. 18.
